1. Who you are contracting with
These Terms & Conditions are between you and Digitaleyezz ("Digitaleyezz", "we", "us"), the seller and operator of the DigitalEyezz toolkit for artists, painters, and galleries. By creating an account, accessing, or continuing to use the service, you agree to these terms. If you use the service on behalf of an organization, you confirm you have authority to bind that organization; if you are an individual, you confirm you are of legal age in your jurisdiction.
2. The service
Digitaleyezz provides browser-based tools for working artists: an art catalog builder, exhibition brochure builder, price list generator, artwork label maker, certificate of authenticity generator, artist statement and bio generators, an artist CV builder, templates, and a virtual exhibition room. We grant you a limited, non-exclusive, non-transferable right to use the service within the limits of your selected plan.
3. Acceptable use
You must not misuse the service. This includes, without limitation:
- Using the service for any unlawful purpose, fraud, or spam;
- Infringing the intellectual property rights of others, including uploading artwork or images you do not have rights to;
- Interfering with the security or operation of the service (malware, probing, scraping, or attempts to bypass technical limits);
- Reverse engineering, reselling, or redistributing the service or its outputs as a competing product.
4. Intellectual property
We retain all ownership of the service and its intellectual property, including the software, templates, documentation, and branding. You retain all rights to the artwork, images, and content you upload. You grant us a limited license to host and process your content solely to provide the service to you. If you believe content on the service infringes your rights, contact us and we will review and, where appropriate, remove it; repeat infringers may have their accounts terminated.
5. Accounts and credentials
You must provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
6. Payments, subscriptions, and our reseller Paddle
Paid plans (Artist Pro and Gallery / Studio) are billed monthly or yearly and auto-renew until cancelled. You can cancel anytime and keep paid features until the end of the period you already paid for.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. See also our Refund Policy.
7. Service level
We work hard to keep the service available, but we do not guarantee uninterrupted or error-free performance. The service is provided "as is" and we disclaim all implied warranties (including merchantability and fitness for a particular purpose) to the fullest extent permitted by law.
8. Suspension and termination
We may suspend or terminate your access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. When access ends, you may request an export of your data within 30 days, after which it may be deleted.
9. Liability
To the fullest extent permitted by law, our aggregate liability is capped at the fees you paid in the 12 months before the claim, and we are not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill). Nothing in these terms excludes liability for fraud, death, or personal injury where such exclusion is not permitted by law. You indemnify us against claims arising from your content, unlawful use of the service, or violation of these terms.
10. General
You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. We are not liable for delays caused by events beyond our reasonable control. These terms are governed by the laws of Bangladesh, and disputes will be resolved in its courts, unless mandatory consumer law in your jurisdiction provides otherwise.
